Terms of Service

Version 2026-10-30 · In force from 30 October 2026 for new accounts and from 30 November 2026 for existing accounts

These Terms of Service (the “Terms”) are an agreement between ComputingSphere OT (org. no. 891120-9131, VAT SE891120913101) registered in Sweden with its seat in Ludvika (“ComputingSphere”, “we”, “us”), and the organization on whose behalf an account is created (the “Customer”, “you”). They govern the use of ComputingSphere DNP3, ComputingSphere SCADA, the computingsphere.com website and every related service (the “Services”).

1. Acceptance and authority

By ticking “I accept” and creating an account, you accept these Terms on behalf of the Customer. You confirm that you are at least 18 years old and authorized to bind the Customer. If you do not have that authority, or do not agree, do not create an account or use the Services.

The Services are offered to businesses and professionals, not to consumers. Nothing in these Terms limits rights that mandatory law gives you and that cannot be waived by contract.

2. The Services

We provide the Services as they exist from time to time. We may add, change or remove features, and change usage limits, provided that a change materially reducing a paid plan you are subscribed to takes effect at your next renewal or with 30 days’ notice.

Features marked “beta”, “early access” or “preview”, including ComputingSphere SCADA while it is labelled as such, are provided for evaluation, may change or be discontinued at any time, and are excluded from any availability commitment.

3. Not a safety system; your responsibility for operations

The Services are monitoring, analysis and supervisory tools. They are not designed, tested or certified as a safety system, a protection system, or a system whose failure could lead to death, personal injury, environmental damage or damage to property.

  • You must not rely on the Services as the only means of protecting people, equipment or the environment, and you must keep independent protection, interlocks and procedures in place.
  • Commands sent to field equipment through the Services are sent on your instruction and at your risk. You are responsible for confirming that each command is correct and safe before sending it, and for the configuration of your devices, networks and points.
  • Results (decoded traffic, diagnostics, reports, alarms, calculated values) depend on the data you provide and may be incomplete or wrong. You are responsible for verifying them before acting on them.

4. Accounts and users

The Customer may give access to its own staff and contractors (“Authorized Users”). The Customer is responsible for every action taken through its accounts, for keeping credentials confidential, for removing access that is no longer needed, and for ensuring that its Authorized Users comply with these Terms. Tell us without delay at contact@computingsphere.com if you suspect unauthorized access.

5. Acceptable use

You must not, and must not allow anyone to:

  • use the Services in breach of law, including export control and sanctions law;
  • upload data you are not entitled to process, or data containing malware;
  • attempt to gain unauthorized access to the Services, to other customers’ data or to our infrastructure, or test their security without our written permission;
  • interfere with or overload the Services, or circumvent usage limits, quotas or access controls;
  • copy, resell, sublicense or provide the Services to third parties as a service bureau, or reverse engineer them except where the law expressly permits it;
  • use the Services to build a competing product.

6. Customer data

The Customer keeps all rights to the data it or its Authorized Users upload or generate in the Services (“Customer Data”), such as captures, models, measurements and screens. You grant us the right to host, process, copy and display Customer Data only as needed to provide, secure and support the Services and to meet legal obligations.

You are responsible for having the rights and legal basis to upload Customer Data, and for keeping your own copies of data that matters to you. Our backups exist to restore the Services, not as a backup service for you.

After an account or subscription ends, we may delete the related Customer Data after 30 days. Until then you may ask us for an export.

We may use aggregated, anonymized usage information that does not identify you or your data to operate and improve the Services.

7. Personal data

We process the personal data of account holders (such as name, email, phone, job title and login records) to provide the Services, bill for them and keep them secure, in accordance with the EU General Data Protection Regulation. Where Customer Data contains personal data, we process it on the Customer’s behalf and only on its instructions as set out in these Terms, and the Customer remains the controller of that data. The Services are hosted in Sweden. Requests about personal data: contact@computingsphere.com.

8. Plans, fees and taxes

  • Paid plans are billed in advance for each billing period through our payment processor (Stripe) and renew automatically until cancelled. You can cancel at any time; the plan then runs until the end of the period already paid.
  • Prices are stated excluding VAT. VAT and other applicable taxes are added according to your location and tax status; a business with a valid VAT number may be invoiced under the reverse-charge rules.
  • Except where required by law, fees already paid are not refunded, including for partial periods or unused quotas.
  • We may change prices with at least 30 days’ notice; the new price applies from your next renewal.
  • If a payment fails and is not settled after notice, we may suspend or downgrade the account.
  • Free plans and free quotas are provided without charge and may be changed or withdrawn at any time.
  • An organization that has only free plans and in which no member has signed in for 90 days may be closed for inactivity. We will email its administrators at least 30 days before closing it, and signing in during that time keeps it open. The closure then follows the process described in the Privacy Policy: the data is kept for 30 days, so the closure can be undone or the data exported, and then deleted.

9. Intellectual property and feedback

The Services, their software, documentation and trademarks are and remain the property of ComputingSphere and its licensors. Subject to these Terms, we grant the Customer a non-exclusive, non-transferable right to use the Services for its internal business purposes while its account is active. If you send us suggestions or feedback, we may use them without obligation to you.

10. Confidentiality

Each party will keep confidential the non-public information it receives from the other and use it only for the purposes of these Terms, except where disclosure is required by law or the information is already public through no fault of the receiving party.

11. Availability and support

We work to keep the Services available and secure, but we do not guarantee that they will be uninterrupted, error-free or available at any particular time. We may carry out maintenance, and suspend the Services where needed to protect them, other customers or third parties. Support is provided by email on a reasonable-effort basis unless another level is agreed in writing.

12. Disclaimer

To the fullest extent permitted by law, the Services are provided “as is” and “as available”, without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability, accuracy and non-infringement.

13. Limitation of liability

  • Neither party is liable for indirect or consequential loss, including loss of profit, revenue, production, business or goodwill, loss or corruption of data, or costs of downtime or of substitute services.
  • Our total liability arising out of or in connection with these Terms and the Services, in any twelve-month period, is limited to the fees the Customer paid us for the Services in the twelve months before the event giving rise to the claim, or 100 euros if no fees were paid.
  • These limits do not apply to liability that cannot be limited under applicable law, such as liability for intent or gross negligence.
  • A claim must be made in writing within twelve months of the time the Customer became aware, or should have become aware, of the circumstances giving rise to it.

14. Indemnity

The Customer will defend and hold ComputingSphere harmless from third-party claims, and the resulting costs, losses and damages, arising from Customer Data, from the Customer’s or its Authorized Users’ use of the Services in breach of these Terms or of law, or from the operation of the Customer’s own equipment and systems.

15. Suspension and termination

You may close your account at any time. We may suspend or close an account immediately if it breaches these Terms in a material way, if its use threatens the security or integrity of the Services, or if required by law; otherwise we may end the Services for you with 30 days’ notice, refunding any prepaid fees for the period after termination. Sections 3, 6, 9, 10 and 12 to 18 survive termination.

16. Force majeure

Neither party is responsible for a failure or delay caused by circumstances beyond its reasonable control, such as failures of power, networks, hosting or payment providers, natural events, war, epidemics, strikes or acts of authorities.

17. Changes to these Terms

We may update these Terms. We will publish the new version on this page and, for a substantial change, notify account holders by email or in the Services at least 30 days before it takes effect. Continued use after that date means acceptance; if you do not accept the change, you may close your account before it takes effect.

18. Governing law, disputes and general terms

These Terms are governed by Swedish law, excluding its conflict-of-law rules. Disputes are decided by Swedish courts, with Falu tingsrätt as the court of first instance.

These Terms are the entire agreement between the parties about the Services and replace earlier understandings. If a provision is invalid, the rest remains in force. You may not transfer your rights under these Terms without our consent; we may transfer them to a successor of our business. These Terms are written in English; translations are provided for convenience and the English text prevails in case of difference.
